Please read these Terms of Service carefully before using the SPECTRA platform. These Terms constitute a legally binding agreement between you and SPECTRA governing your access to and use of the Service.
1. Acceptance of Terms
By accessing or using the SPECTRA website, platform, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using SPECTRA, you represent and warrant that you meet these eligibility requirements. If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Description of Service
SPECTRA is a multi-agent artificial intelligence platform that provides trading signals, market analysis, risk assessment, and related informational services. The Service uses autonomous AI agents to scan market data, generate trade theses, evaluate risk, and produce actionable intelligence. SPECTRA is an informational and analytical tool. It is not a broker-dealer, investment adviser, or financial institution.
4. No Financial Advice
Nothing provided by SPECTRA constitutes financial advice, investment advice, trading advice, or any other sort of professional advice. All signals, analyses, scores, recommendations, and other outputs generated by the platform are for informational and educational purposes only. You are solely responsible for your own investment decisions. You should consult with a qualified financial professional before making any investment decisions. SPECTRA does not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.
5. Account Registration
To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
6. Waitlist and Early Access
By joining our waitlist, you consent to receiving communications from SPECTRA regarding platform updates, launch announcements, and related information. Waitlist position does not guarantee access to the platform. We reserve the right to grant access at our sole discretion. Early access features may be incomplete, contain bugs, or change significantly before general availability.
7. Intellectual Property
All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, algorithms, AI models, and agent architectures — are the exclusive property of SPECTRA and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8. Prohibited Conduct
You agree not to: use the Service for any unlawful purpose or in violation of any applicable laws or regulations; attempt to reverse engineer, decompile, or disassemble any part of the platform; use automated tools (bots, scrapers, etc.) to access or extract data from the Service without authorization; impersonate any person or entity or misrepresent your affiliation; interfere with or disrupt the Service or servers or networks connected to it; share your account credentials with third parties; or redistribute, resell, or sublicense SPECTRA signals or analyses without written permission.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SPECTRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SPECTRA IS NOT LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DAMAGES RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SPECTRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY TRADING SIGNALS, ANALYSES, OR OTHER CONTENT OBTAINED THROUGH THE SERVICE.
11. Indemnification
You agree to indemnify, defend, and hold harmless SPECTRA, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
